These Terms & Conditions ("Terms") govern your access to and use of the website and services provided by 01 E-Commerce Ltd ("01 Ecommerce", "we", "us", or "our"), a company registered in England and Wales under company number 15605617, with its registered office at [Registered Address]. By accessing our website or engaging our services, you ("Client", "you") agree to be bound by these Terms.
01 Ecommerce provides Shopify store design, development, and optimisation services, together with integration into marketplaces and sales channels such as TikTok Shop, Amazon, eBay, and others (the "Services"). The specific scope, deliverables, and timelines for any engagement will be agreed separately in writing between 01 Ecommerce and the Client before work begins.
Where advertised, our model provides store build and optimisation work at no upfront cost to the Client, with 01 Ecommerce instead being remunerated through a commission on sales generated through the store(s) we build and optimise. The exact commission rate, payment schedule, and reporting arrangements will be set out in a separate partnership or services agreement signed by both parties prior to the commencement of work, and that agreement will take precedence over any general description on our website.

While we work to design, build, and optimise stores for growth, we do not guarantee specific sales volumes, revenue, rankings, or other commercial outcomes. eCommerce performance depends on many factors outside our control, including market conditions, product-market fit, and third-party platform policies.
Our Services involve integration with third-party platforms (including Shopify, TikTok Shop, Amazon, eBay, and payment or marketing tools). Your use of those platforms is governed by their own terms and policies. We are not responsible for outages, policy changes, account suspensions, or fees imposed by third-party platforms.
Unless otherwise agreed in writing, on full payment of any fees or commission due, ownership of custom deliverables created specifically for the Client (such as bespoke store designs) transfers to the Client. 01 Ecommerce retains ownership of its own pre-existing tools, templates, methodologies, and know-how, and may reuse non-Client-specific components in work for other clients.
Each party agrees to keep confidential any non-public business, financial, or technical information disclosed by the other party in connection with the Services, and to use it only for the purposes of the engagement.
Either party may terminate an engagement in accordance with the notice period set out in the applicable services agreement. We reserve the right to suspend or terminate Services where the Client breaches these Terms or the applicable agreement, or where continued provision of Services would be unlawful.
To the fullest extent permitted by law, 01 Ecommerce's total liability arising out of or in connection with the Services shall not exceed the total fees or commission actually paid by the Client to 01 Ecommerce in the twelve (12) months preceding the claim. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be limited or excluded.
We may update these Terms from time to time to reflect changes to our Services or for legal or regulatory reasons. The updated version will be posted on this page with a revised "Last updated" date.
These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
